Terms and Conditions of Design Services

These Terms and Conditions govern all design services provided by Spaces by Candi. Throughout these Terms, “Spaces by Candi,” “Designer,” “we,” “us,” and “our” refer to Spaces by Candi. “Client,” “you,” and “your” refer to the homeowner, contractor, interior designer, cabinetry dealer, builder, or other person or business requesting the services.
By accepting a proposal, submitting payment, providing project information, approving a design, or instructing Spaces by Candi to begin work, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
1. Scope of Design Services
Spaces by Candi provides interior space planning, kitchen and bathroom layouts, cabinetry design, finish selections, design elevations, three-dimensional renderings, and related visual design services.
The specific services, deliverables, revision limits, fees, and estimated schedule for each project will be described in the applicable proposal, invoice, service agreement, or written project scope.
Unless expressly stated otherwise in a signed agreement, all drawings, layouts, elevations, renderings, specifications, and other materials provided by Spaces by Candi communicate design intent only.
2. Spaces by Candi Is Not an Architectural or Engineering Firm
Spaces by Candi is not an architectural firm, engineering firm, construction company, cabinetry manufacturer, cabinetry dealer, general contractor, or code-consulting service.
Candace is not acting as an architect, engineer, surveyor, construction manager, or licensed trade professional.
Our services do not include:
Architectural plans or construction documents
Structural analysis or engineering
Load-bearing wall evaluation
Electrical, plumbing, mechanical, or HVAC engineering
Permit drawings or permit applications
Building-code certification
Construction supervision
Site safety management
Cabinet fabrication or installation
Appliance, fixture, cabinetry, or material ordering
Certification that a design is suitable for construction
Any work requiring an architect, engineer, licensed contractor, licensed trade professional, permit specialist, or other qualified professional must be reviewed and performed by the appropriate professional hired by the Client.
3. Designs Are for Visual and Conceptual Purposes
All designs, drawings, layouts, elevations, cabinetry plans, renderings, videos, virtual tours, and related project materials are provided for visual, conceptual, planning, and design-intent purposes only.
They are not stamped architectural drawings, engineering documents, permit documents, fabrication drawings, or guaranteed construction documents.
The Client may not rely on a Spaces by Candi design as the sole basis for construction, demolition, fabrication, ordering, installation, permitting, or code compliance.
Before any design is executed, the Client must have the design reviewed and approved by the appropriate on-site professionals. Depending on the project, this may include the project manager, contractor, cabinetry dealer, cabinet manufacturer, installer, architect, engineer, plumber, electrician, appliance professional, or local building department.
4. Reliance on Client-Submitted Information
Spaces by Candi creates designs using the measurements, photographs, floor plans, appliance information, product specifications, inspiration materials, and other project details submitted by the Client or the Client’s representatives.
Unless a separate written agreement specifically states otherwise, Spaces by Candi does not independently measure, survey, inspect, or verify the project site.
The Client is responsible for ensuring that all submitted information is complete, current, and accurate.
Spaces by Candi is not responsible for errors, conflicts, delays, redesign expenses, ordering mistakes, fabrication problems, installation issues, or construction costs caused by:
Incorrect or incomplete measurements
Measurements taken from outdated plans
Estimated or assumed dimensions
Missing information
Undisclosed site conditions
Changes made after measurements were taken
Inaccurate appliance or fixture specifications
Inaccurate information provided by the Client or a third party
Failure to verify the site before ordering or construction
Differences between submitted plans and actual field conditions
5. Mandatory Field Verification of Measurements
Every measurement must be independently confirmed at the project site before the design is executed.
All measurements must be field verified by the Client’s qualified project manager, contractor, cabinetry dealer, cabinet manufacturer, installer, architect, engineer, or other responsible on-site professional.
Verification must include, as applicable:
Overall room dimensions
Individual wall lengths
Ceiling heights
Door and window sizes
Door and window locations
Trim, casing, and molding dimensions
Wall thicknesses
Corners and wall angles
Floor level and wall plumb
Plumbing locations
Gas locations
Electrical locations
HVAC vents and equipment
Soffits, beams, columns, and chases
Appliance dimensions and required clearances
Fixture dimensions
Cabinetry clearances
Walkway and work-area clearances
Existing structural or mechanical conditions
Any obstruction that may affect the design
Measurements should be confirmed again after demolition, framing, or other construction work whenever site conditions may have changed.
No cabinetry, appliances, countertops, fixtures, materials, millwork, or construction components should be ordered, fabricated, cut, or installed until all relevant measurements and specifications have been confirmed by the responsible on-site professional.
Dimensions shown on a Spaces by Candi document must not be treated as independently verified field measurements. Drawings should never be scaled to determine a missing dimension.
6. Client Responsibility for Design Execution
By approving or using a design, the Client accepts full responsibility for confirming that the design is appropriate and feasible for the actual project site.
The Client is responsible for deciding whether and how the design will be constructed, ordered, fabricated, or installed.
The Client must provide all final designs to the appropriate project professionals for review before proceeding. Approval from Spaces by Candi does not replace the approval of a contractor, cabinetry dealer, manufacturer, architect, engineer, installer, building official, or licensed trade professional.
The Client and the Client’s project professionals remain solely responsible for:
Final field measurements
Construction feasibility
Means and methods of construction
Structural integrity
Building-code compliance
Permit requirements
Accessibility requirements
Utility locations
Product suitability
Manufacturer requirements
Installation methods
Site safety
Final purchasing and ordering decisions
Final construction results
The Client assumes responsibility for executing or authorizing the execution of the design.
7. Cabinetry Designs and Dealer Verification
Cabinetry layouts, elevations, schedules, and renderings communicate the intended appearance and general configuration of the cabinetry.
Even when detailed cabinetry information is provided, the final cabinet order must be prepared, reviewed, and approved by the cabinetry dealer, cabinet manufacturer, contractor, installer, and Client.
Before ordering cabinetry, the responsible parties must verify:
Cabinet sizes and quantities
Door styles and finishes
Construction type
Finished ends
Fillers and scribe allowances
Panels and appliance panels
Toe kicks
Crown molding and trim
Hardware
Hinges and door clearances
Drawer and door operation
Appliance openings
Manufacturer-specific requirements
Installation clearances
Site access and installation conditions
Spaces by Candi does not manufacture, sell, order, deliver, or install cabinetry unless a separate written agreement expressly states otherwise.
Spaces by Candi is not responsible for cabinetry ordered incorrectly, manufactured incorrectly, damaged, delayed, discontinued, installed incorrectly, or inconsistent with actual field conditions.
8. Appliances, Fixtures, Materials, and Product Orders
Product information may be included in a design for visual coordination or planning purposes. The Client and the appropriate supplier or contractor must verify all product information before purchase.
This includes model numbers, dimensions, specifications, electrical requirements, plumbing requirements, ventilation requirements, installation instructions, clearances, availability, pricing, lead times, finish variations, and compatibility with surrounding construction.
Manufacturers may modify or discontinue products without notice. Spaces by Candi is not responsible for manufacturer changes, supplier errors, back orders, shipping delays, price changes, product defects, finish variations, or discontinued products.
Spaces by Candi does not place orders or accept responsibility for products ordered by the Client, contractor, dealer, supplier, or another third party.
9. Renderings and Visual Representations
Three-dimensional renderings are artistic and digital representations intended to help the Client understand the proposed design.
Renderings are not guarantees of the exact finished appearance. Actual results may differ because of:
Screen and monitor settings
Lighting conditions
Natural material variation
Dye-lot and finish variation
Product substitutions
Manufacturer changes
Construction tolerances
Installation methods
Site conditions
Photography and digital-rendering limitations
The Client should review physical samples and current manufacturer information before approving or purchasing colors, finishes, cabinetry, countertops, flooring, tile, paint, hardware, lighting, fixtures, or other materials.
10. Codes, Permits, and Professional Review
Spaces by Candi does not guarantee that a design complies with local, state, or federal building codes, zoning requirements, permit requirements, accessibility rules, manufacturer requirements, or industry standards.
Code and permit requirements vary by location and may change.
The Client is responsible for consulting the appropriate architect, engineer, contractor, licensed trade professional, permit authority, or local building department before construction.
The Client must not represent a Spaces by Candi document as an architectural, engineering, stamped, certified, or permit-ready document.
11. Existing and Concealed Conditions
Spaces by Candi cannot evaluate conditions that are concealed, inaccessible, omitted from submitted information, or discovered after design work begins.
These conditions may include structural problems, uneven walls, out-of-square rooms, unlevel floors, hidden utilities, water damage, mold, asbestos, inadequate electrical service, plumbing limitations, ventilation issues, or other construction conditions.
Spaces by Candi is not responsible for redesign, construction changes, additional materials, delays, or expenses resulting from existing or concealed conditions.
12. Client Review and Approval
The Client is responsible for carefully reviewing every design and document before approval.
The Client must check:
Measurements
Layout
Cabinetry configuration
Appliance placement
Door and drawer operation
Material selections
Product information
Spelling and labeling
Quantities
Clearances
Functional requirements
Requested revisions
Approval means that the Client accepts the design direction and authorizes Spaces by Candi to proceed to the next project stage.
Client approval does not eliminate the requirement for field verification and professional review before ordering, fabrication, installation, or construction.
Changes requested after approval may require additional fees and may affect the project schedule.
13. Revisions and Design Changes
The number and type of included revisions will be stated in the applicable proposal or service description.
A revision is a reasonable modification to the approved design direction. A substantial change in scope, room configuration, measurements, style, product selections, or project requirements may be treated as additional work.
Additional work may require a revised proposal, additional fees, and an adjusted schedule.
Spaces by Candi is not responsible for costs resulting from changes made by the Client, contractor, dealer, installer, manufacturer, or another party after a design has been approved.
14. Contractor and Third-Party Responsibility
Spaces by Candi does not control and is not responsible for the work, conduct, schedules, pricing, advice, representations, errors, omissions, or performance of contractors, cabinetry dealers, installers, manufacturers, suppliers, architects, engineers, tradespeople, or other third parties.
Any contractor, supplier, dealer, installer, or professional recommended or mentioned by Spaces by Candi operates independently.
The Client is responsible for selecting, hiring, supervising, paying, and evaluating all third-party professionals.
15. Construction and Installation
Spaces by Candi does not direct construction means, methods, sequencing, safety procedures, or installation practices.
Contractors and installers are responsible for determining how to safely and properly execute the design.
If an on-site professional determines that part of the design cannot or should not be constructed as shown, that professional must stop the affected work and notify the Client before proceeding. Spaces by Candi should be given an opportunity to review the issue before the design is modified.
Unauthorized changes made during construction are the responsibility of the Client and the party making the changes.
16. Fees and Payment
Project fees, payment schedules, deposits, and billing terms will be stated in the applicable proposal, invoice, or service agreement.
Work may be paused when a required payment is overdue. Final files or deliverables may be withheld until all outstanding invoices are paid.
The Client remains responsible for fees associated with work completed before a project is paused, canceled, or terminated.
17. Project Schedule
Any delivery date or turnaround time is an estimate unless expressly guaranteed in writing.
Project timing may be affected by Client response times, delayed measurements, missing information, design changes, product research, third-party communication, illness, technical issues, or circumstances outside the Designer’s reasonable control.
Spaces by Candi is not responsible for construction delays, ordering deadlines, contractor scheduling, product lead times, or other project deadlines unless a specific obligation is included in a signed agreement.
18. Ownership and Permitted Use
Spaces by Candi retains ownership of its original drawings, renderings, layouts, presentations, templates, methods, and other creative work unless a signed agreement expressly transfers ownership.
After full payment, the Client receives a limited right to use the final approved deliverables for the specific project for which they were created.
The Client may not resell, redistribute, publish as their own, reuse for another property, alter for commercial resale, or provide editable design files to another party for unrelated use without written permission.
Contractors and trade professionals may share project documents with parties directly involved in executing the specific project.
19. Portfolio and Social Media Use
Unless the Client specifically requests otherwise in writing, Spaces by Candi may display project renderings, plans, elevations, photographs, before-and-after images, and other examples of the work in its portfolio, website, social media, blog, professional directories, and marketing materials.
Spaces by Candi will not intentionally publish the Client’s full name, street address, contact information, or other personally identifying details without permission.
A Client who does not want project work shared must submit a written opt-out request. Spaces by Candi will make reasonable efforts to honor removal requests for content on platforms under its direct control.
20. Disclaimer of Warranties
To the maximum extent permitted by law, design services and deliverables are provided based on the information available at the time of the project.
Spaces by Candi does not warrant or guarantee:
That submitted measurements are correct
That a design can be constructed exactly as shown
That a design will receive permit approval
That a design complies with every applicable code
That products will be available
That materials will appear exactly as rendered
That a contractor or supplier will interpret the design correctly
That the completed project will match the digital rendering exactly
That the project will remain within a particular construction budget
Any construction estimate, product price, or budget information is approximate unless provided directly by the responsible contractor, supplier, dealer, or manufacturer.
21. Limitation of Liability
To the maximum extent permitted by applicable law, Spaces by Candi will not be liable for losses, damages, claims, expenses, or costs resulting from:
Inaccurate or unverified measurements
Incorrect Client-submitted information
Failure to conduct field verification
Failure to obtain professional review
Construction or installation decisions
Ordering, purchasing, or fabrication mistakes
Incorrect quantities or product selections
Contractor, dealer, manufacturer, installer, or supplier errors
Code or permit issues
Concealed or changed site conditions
Unauthorized design modifications
Product delays, defects, substitutions, or discontinuations
Differences between renderings and completed construction
Loss of use, loss of profits, project delays, or other indirect or consequential damages
To the maximum extent permitted by law, the Client’s sole remedy for a proven claim directly arising from Spaces by Candi’s services will be limited to the amount the Client paid to Spaces by Candi for the specific service giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
22. Client Acknowledgment and Assumption of Responsibility
By working with Spaces by Candi, the Client acknowledges and agrees that:
Spaces by Candi relies on measurements and information submitted by the Client or third parties.
Spaces by Candi does not independently guarantee those measurements.
Every measurement and site condition must be verified by a qualified on-site professional.
Spaces by Candi is not acting as an architect, engineer, contractor, dealer, manufacturer, or installer.
Designs are provided for visual, conceptual, planning, and design-intent purposes.
The Client is responsible for obtaining all necessary professional reviews, permits, approvals, and field verification.
The Client is responsible for all final ordering, fabrication, construction, and installation decisions.
The Client assumes responsibility for approving and executing the design.
Spaces by Candi is not responsible for errors arising from inaccurate information, unverified measurements, incorrect ordering, third-party work, or failure to follow these Terms.
23. Governing Law
These Terms will be governed by the laws of the State of New York, without regard to conflict-of-law principles.
Before filing a legal claim, the parties agree to make a reasonable good-faith effort to resolve the dispute through direct written communication.
24. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or modified to the minimum extent necessary, and the remaining provisions will remain in effect.
25. Entire Agreement
These Terms, together with the applicable proposal, invoice, project scope, and any signed service agreement, represent the agreement between the Client and Spaces by Candi.
If a project-specific signed agreement conflicts with these general Terms, the project-specific signed agreement will control.
